Terms of Use

The Service is intended for use by legal professionals and law firms. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must provide accurate, current, and complete information when registering and keep such information updated. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes in accordance with these Terms and any applicable order form or subscription agreement. Your right to use the Service is contingent on your compliance with these Terms and any applicable law.

The Service may include features that connect to third-party communication and practice management platforms (e.g., email, calendar, matter management systems). You are responsible for ensuring that your use of such integrations complies with the terms of those third-party services and with your firm's policies and applicable professional responsibility rules.

You agree not to use the Service to:

• Violate any applicable law, regulation, or professional responsibility obligation
• Infringe or misappropriate the intellectual property or other rights of Lawgbook or any third party
• Transmit malware, attempt to gain unauthorized access to our systems or other users' data, or interfere with the integrity or availability of the Service
• Use the Service for any purpose that is fraudulent, abusive, or that we reasonably deem harmful to the Service or other users

We may suspend or terminate your access to the Service if we reasonably believe you have violated this section, and we may report violations to applicable authorities where appropriate.

You retain ownership of the data and content you provide to the Service ("Your Data"). You grant us a limited license to use, process, and store Your Data as necessary to provide, maintain, and improve the Service, and as described in our Privacy Policy. We do not use Your Data to train AI models or for marketing purposes unrelated to the Service.

You are responsible for ensuring that you have all rights and consents necessary to provide Your Data to the Service and that Your Data does not violate any third-party rights or applicable law. You are also responsible for backing up any data that is critical to your practice; we are not liable for loss of Your Data except as expressly stated in a separate agreement.

The Service, including its software, design, text, graphics, and other materials, and any improvements or derivatives, are owned by Lawgbook or our licensors and are protected by intellectual property laws. Except for the limited license granted in these Terms, you receive no right, title, or interest in the Service. You may not copy, modify, distribute, sell, or create derivative works of the Service or reverse engineer the Service except as expressly permitted by applicable law.

Fees for the Service are set forth in your order form, quote, or subscription plan. Unless otherwise specified, fees are billed in advance and are non-refundable. You agree to pay all applicable taxes. We may change fees upon reasonable notice; continued use of the Service after a fee change constitutes acceptance of the new fees. Failure to pay fees when due may result in suspension or termination of your access to the Service.

You may stop using the Service at any time. We may suspend or terminate your access to the Service for breach of these Terms, non-payment, or for any other reason with reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) will survive termination.

Upon termination, you may request a copy of Your Data within a reasonable period; we will provide it in a standard format where feasible, subject to our data retention and deletion practices as described in our Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Lawgbook assists with time entry generation and matter matching; it does not provide legal advice. You remain responsible for reviewing and approving all time entries and for compliance with your professional obligations. We are not responsible for the accuracy of third-party data or integrations.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAWGBOOK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF GREATER, ONE HUNDRED U.S. DOLLARS). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Lawgbook and its affiliates, officers, directors, employees, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Your Data or your violation of any third-party rights; (c) your breach of these Terms; or (d) your violation of applicable law.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service. We encourage you to review this page periodically for the latest terms.

These Terms, together with our Privacy Policy and any order form or subscription agreement, constitute the entire agreement between you and Lawgbook regarding the Service. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
